I still think we should be gathering thoughts on the quorum issue, so 
haven't inserted those changes in the proposed bylaws. I did make two 
minor changes based on Markwart's posting.

  I sent you and the BWNA list a copy of a proposed paragraph based 
on your suggestion. I feel that it is an issue beyond the task of 
making a minimum of changes in order to comply, so I propose it as a 
separate item. I am repeating that email below for your convenience.

I have been avoiding this to allow the group to make suggestions. I 
am beginning to think it would be better to do like Portland's city 
council: it doesn't matter how many are present, it still takes three 
(a majority of the full council's five members.) I don't know if this 
would pass with Brian Hoop.

Any more suggestions on the quorum question?

This is a change that goes beyond the minimum needed to conform and I 
suggest it be presented as a separate item at the meeting:

Article 5 Board of Directors

Section 1 Composition
A. Composition of the BWNA board of directors (hereinafter the 
board): The board shall be composed of a president, vice president, 
secretary, treasurer, the immediate past president, and ten members 
at large. Each board member is in office for a term of two years or 
until a successor is elected or appointed. Annual elections shall be 
held in April. [vacant board and officer positions can also be filled 
at any general or board meeting by approval by a quorum of the board, 
or 50% of boardmembers.]
